1. Agreement to Terms

These Terms and Conditions (Terms) govern your access to and use of Menuboard services, including our website, portal, and mobile applications (Services). By accessing or using the Services, you agree to these Terms.

If you do not agree, you must not use the Services.

2. Definitions

  • Menuboard, we, us, our: the provider of the Services.
  • Venue: a business account posting specials through Menuboard.
  • User: any person using the Services, including venue users and consumer users.
  • Special: a time-limited offer or listing published by a Venue.
  • Fees: subscription, pack, and related charges payable by Venues.

3. Eligibility and Accounts

You must provide accurate account details and keep credentials secure. You are responsible for all activity under your account, including access by staff or authorised users.

You must promptly notify us of suspected unauthorised access or misuse.

4. Service Description and Role of Menuboard

Menuboard provides software tools for Venues to publish Specials and for users to discover, claim and redeem them. Menuboard is not a party to the underlying food or beverage transaction between a Venue and a consumer.

Venue fulfilment, food quality, pricing, stock availability, and redemption decisions remain the responsibility of the Venue (subject to applicable law).

5. Venue Obligations

  • Publish accurate, lawful and non-misleading Specials.
  • Maintain clear redemption processes at the venue.
  • Comply with food, consumer, privacy, and advertising laws.
  • Ensure staff with account access are authorised and trained.
  • Not upload infringing, defamatory, deceptive, or prohibited content.

6. Billing, Subscriptions, and Payments

Fees, plan terms, trial terms, and pack conditions are presented at purchase. Payments are processed by third-party providers (such as Stripe). By purchasing, you authorise recurring or one-off charges as selected.

Unless required by law, payments are non-refundable after service delivery, and unused entitlements are handled according to the selected plan terms.

We may update pricing prospectively with reasonable notice.

7. Acceptable Use

You must not:

  • Use the Services for unlawful, fraudulent, or deceptive conduct.
  • Interfere with platform security, integrity, or availability.
  • Reverse engineer or attempt unauthorised access to systems or data.
  • Scrape or harvest data outside permitted use.
  • Impersonate others or create false accounts.

8. Intellectual Property

Menuboard and its licensors own all rights in the Services, software, branding, and related materials, excluding content you upload.

You grant Menuboard a non-exclusive, worldwide licence to host, reproduce, display and process your submitted content solely to operate, improve, and provide the Services.

9. Suspension and Termination

We may suspend or terminate access (including specific accounts) where reasonably necessary, including for security risk, non-payment, legal compliance, or material breach of these Terms.

Clauses that by nature should survive termination (including payment obligations, intellectual property, disclaimers, liability limits, and indemnities) will continue.

10. Warranties and Consumer Law Notice

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without additional warranties.

Nothing in these Terms excludes, restricts, or modifies any non-excludable rights or remedies under the Australian Consumer Law (ACL) or other applicable legislation.

11. Limitation of Liability

To the maximum extent permitted by law, Menuboard excludes liability for any indirect, incidental, special, exemplary, or consequential loss, including loss of profits, revenue, goodwill, data, or business opportunity.

To the maximum extent permitted by law, Menuboard's aggregate liability arising out of or in connection with the Services or these Terms is limited to the greater of:

  • the total Fees paid by the affected Venue to Menuboard in the 12 months before the claim, or
  • AUD $100.

Where liability for a guarantee under the ACL can lawfully be limited, our liability is limited (at our option) to supplying the services again or paying the cost of having the services supplied again.

This clause applies whether the claim is in contract, tort (including negligence), statute, equity, indemnity, or otherwise.

12. Indemnity

You indemnify Menuboard, its officers, employees and contractors from losses, costs, claims, and liabilities arising from your unlawful conduct, breach of these Terms, or infringement of third-party rights, except to the extent caused by our fraud, wilful misconduct, or non-excludable statutory breach.

13. Changes to Services or Terms

We may update these Terms from time to time. Updated Terms apply from publication or the stated effective date. Continued use of the Services after that date constitutes acceptance.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. The courts of New South Wales have non-exclusive jurisdiction over disputes arising in connection with these Terms.
